The Role
We have a fantastic opportunity for an in-house legal to advise on a wide range of legal issues and support our commercial strategy and growth across all territories and jurisdictions.
The ideal candidate will be passionate and comfortable negotiating, proposing decisions, spotting curveballs, asking critical questions, having a busy workload and coping with fluid priorities - generally being thrown in at the deep end!

Responsibilities

    • Negotiate clauses on commercial agreements, including but not limited to Master Service Agreement, Software Licensing Agreement, SaaS Addendum, Non-disclosure Agreement, Statement of Work, Service Level Agreement, Partnership Agreement, Memorandum of Understanding et al.
    • Skilfully draft and thoroughly review legal memos encompassing a diverse range of subject matters and principles, tailored for client consumption.
    • Collaborate closely with external legal counsel during contract negotiations and on an as-needed basis, leveraging legal expertise to facilitate seamless execution of agreements and provide strategic guidance to optimize legal outcomes.
    • Develop and manage PredictX Master Service Agreement changes, incorporating best-in-class terms and smart risk management strategies, while also regularly revising and updating other contract templates (e.g., NDA, data protection addendum), internal policies, handbooks, and playbooks to proactively ensure compliance with evolving regulatory changes and legal requirements.
    • Manage and advise on ad hoc legal queries from across the business, including advising on software licensing issues and general contract terms such as indemnification, warranties, termination rights, limitation of liability, payment terms, insurance and intellectual property rights, employment contract issues, and other legal needs in the UK, North America and Spain.
    • Handle data privacy issues, including the thorough review, revision, and negotiation of data processing addenda for international data transfers, ensuring the incorporation of appropriate data protection clauses, and proactively mitigating business risks by addressing client inquiries related to data privacy and cybersecurity.
    • Ensure that our organisation is compliant with regulatory filings in all jurisdictions.
    • Oversee and manage in collaboration with finance the company's insurance framework, including the maintenance, renewal, and compliance aspects, while providing legal counsel and guidance to ensure the company's insurance operations adhere to regulatory requirements and industry best practices.
    • Liaise with the finance on branch incorporation, due diligence, investments and audits.
    • Provide general legal advice on day-to-day operational matters.
    • Liaise and advise internally on G-Cloud and other frameworks.
    • Ensure regular returns and re-registrations
    • ISMS Co-ordination (reporting to IG Manager):
    • Update all required documentation with the internal ISO lead.
    • Undertake internal audits of ISMS.
    • Organise ISMSF meetings and documentation.

Qualifications & Experience

    • A strong private practice or in-house background.
    • Experience in drafting and negotiating complex commercial agreements.
    • Strong knowledge of contracts, data protection, contract law.
    • Excellent drafting skills and the ability to analyse complex agreements.
    • Listed company experience - desirable.
    • Brand Protection and IP/Trademark experience - desirable.
    • Tech sector experience - desirable.
    • Accredited law school graduation, with 3-5 years’ experience in a law firm and/or in-house position.
    • Strong knowledge of employment law and practices in the UK.
    • Knowledge of employment law and practices in other jurisdictions in North America and Spain - preferred but not required.
    • Ability to work autonomously and independently.
    • Strong organisational and interpersonal skills, including the ability to work effectively within a geographically distributed team and fast-paced business environment.
    • Demonstrate ability to think and decide quickly and to communicate legal issues and solutions clearly and concisely.
