Job Description
About the Role
It is the role of the Deputy Company Secretary to ensure that the Company Secretarial team consistently delivers appropriate corporate governance and company secretarial administration across all areas of ASOS globally, whilst maintaining the complete confidence from the ASOS Board that all matters have been handed appropriately relating to the operation of the PLC Board and the performance of the Department.
The role requires a confident and efficient candidate, with excellent communication skills, who has the ability to adapt their approach to ensure excellent interaction with a wide variety of business areas, and the agility to work at ASOS’s fast pace.
What You’ll be Doing
- Acting as internal subject matter expert for CoSec and other governance related matters, including key point of contact for Non-executive Directors on their corporate governance queries. Supporting and deputising (as required) for the General Counsel & Company Secretary in liaising with the Board on corporate governance and regulatory matters.

Assisting with the ASOS Plc Board & Committee meetings, drafting agendas, managing forward planners, action tracking, Terms of Reference, drafting Board & Committee papers as required, and circulating Board & Committee papers.

Provide full CoSec duties including attending meetings and minute-taking for ESG Committee and Remuneration Committee.

Co-ordinating appointments (including service agreements and other requirements) and inductions for all Non-Executive appointments to the ASOS Plc Board. Arrange and conduct Board evaluations and any other governance matters.

Ensuring ASOS Plc complies with all statutory obligations and regulatory requirements, including the Listing Rules, Market Abuse Regulations and the UK Corporate Governance Code. Reporting to and liaising with the FCA and FRC as required.

Project management of all contributions to ASOS Plc’s Annual Report, including ownership of the relationship with external consultancy producing the report, drafting the Governance section, ownership of the Strategic Report and collation of the required content. Liaising with the auditors and co-ordinating responses to RFI. Managing the Board and Committees’ review and approval, and printing sign-off.

Ownership of the organisation of ASOS Plc’s Annual General Meeting and any other shareholder meetings, including drafting of the Notice of Meeting and ancillary documents, and ensuring they take place in line with all regulatory requirements.

Managing the relationship with the ASOS Plc registrar.

Providing support to colleagues around the Group in relation to the execution of corporate transactions, including M&A and financing, and co-ordinating associated board meetings and approvals.

Minuting key internal management meetings, including Executive Committee and Operating Board.

Ownership and management of ASOS’ compliance with Market Abuse Regulations, including share dealing and inside information management, managing regulatory announcements and PDMR disclosure requirements.

Managing statutory compliance across the Group – both UK and internationally. Ensuring all applicable statutory and regulatory filings are made for the UK business, including those required by Companies House and the Financial Conduct Authority as the UK listing authority

Supporting the Reward team with the administration of share plans, including grants, vesting, ad hoc awards, funding of awards and the interpretation of the share plan rules.

Manage Company Secretarial Assistant and ensure their development.

Providing overall support to the General Counsel & Company Secretary.

Qualifications

- A qualification as a Chartered Secretary

Experience in a listed company environment
