ROLE OVERVIEW
Reporting directly into the General Counsel & Company Secretary you will be responsible for providing company secretarial practice and corporate governance support and advice to the wider business and the Board, ensuring statutory and regulatory obligations being met.
THE ROLE, RESPONSIBILITIES AND DUTIES:
You will be responsible for:
- Annual scheduling of Board, Committee and Executive Committee meetings.
- Preparation of agendas.
- Collating reports, papers and packs for distribution prior to meetings.
- Liaising with attendees (both internal and external) as required in relation to all attendance requirements.
- Arranging meeting venues, on-line access and maintenance of the Cosec calendar.
- Attendance and minuting of meetings, recording of resolutions and creation and circulation of Action tracker.
- Updating investor website to ensure compliance with regulatory requirements.
- Maintaining the Terms of Reference for the sub-committees.
- Maintaining the statutory records and books and ensuring Companies House filings are made.
- Assisting with the issuance of stock exchange announcements.
- Supporting the board and committee evaluation process on an annual basis.
- Monitoring developments in corporate governance and recommending any changes in policies, processes and reporting requirements as required.
The role involves direct contact with Executives, Directors and the Board and will require a high degree of organisation, responsibility, and independence as well as the ability to deal professionally with colleagues throughout the business. The role will suit anyone looking to gain exposure to the corporate governance requirements of an AIM listed business. In addition, the role offers flexible and remote working.

Qualifications and experience:
- Wide-ranging company secretarial experience in a medium-sized Company covering all areas of responsibility
- Minute taking
- Experience of company secretarial software
